These Terms of Service and Subscription Agreement (the "Agreement") are between House of Dreams LLC, a [State of organization] limited liability company located at [House of Dreams LLC address] ("Company," "we," "us"), and the school, district, or other educational agency or institution that registers for HallGuard Pro (the "School," "you"). By clicking "I Agree" during sign-up, signing an order form, or using the Service, the individual accepting represents that they are authorized to bind the School.
HallGuard Pro is a web-based tool for tracking student hall passes, restroom and water-break passes, nurse visits, staff-to-staff handoffs, restricted-pairing ("No Wrong Meetups") alerts, and related reports (the "Service"). Each School receives a separate, logically isolated instance (e.g., yourschool.hallguardpro.com).
| Plan | Annual Fee | Monthly Option | Includes |
|---|---|---|---|
| Starter Campus | $599 / school year | $79 / month | 1 school, up to 350 students and 40 staff |
| Pro Campus | $995 / school year | $129 / month | 1 school, unlimited students and staff |
| District-Wide Pass | $4,995 / school year | $499 / month | Up to 10 schools in one district |
Fees exclude applicable taxes; tax-exempt Schools must provide an exemption certificate. Exceeding plan limits may require an upgrade, which will be prorated for the remaining Term.
New Schools may use the Service free for 14 days from sign-up (the "Trial"), one Trial per School (determined by School name and email domain). No payment information is required for the Trial, and the School will not be charged unless it chooses a paid plan. When the Trial ends without a paid plan, the School's account becomes read-only; School data is retained for [__ days] and then deleted per the DPA, or sooner on the School's written request. We may extend or end a Trial at our discretion. The DPA and Privacy Policy apply during the Trial. [Attorney: confirm trial and auto-conversion terms; if a card is later collected at sign-up, add clear auto-renewal disclosures required by state law.]
Annual subscriptions run for 12 months from the start date listed on the order or sign-up confirmation (the "Initial Term"). Unless either party gives written notice of non-renewal at least [30] days before the end of the then-current term, the subscription renews for successive 12-month terms. We will send a renewal reminder at least [45] days before renewal. Renewal pricing may change with at least [60] days' written notice. Monthly subscriptions renew month-to-month. Where state or local law limits automatic renewal for public entities, renewal requires the School's written approval or a new purchase order.
The School may cancel anytime through the admin portal or by emailing [Support email]. Monthly plans: cancellation takes effect at the end of the current billing month; no partial refunds. Annual plans: cancellation stops renewal; [the School may receive a prorated refund of unused full months if canceled within the first [30] days / no refunds after [30] days — choose one]. Either party may terminate for material breach not cured within 30 days of written notice; on termination for our breach, we refund prepaid unused fees. If a public School's funding is not appropriated, it may terminate at fiscal year end with written notice.
Student Data is governed by the HallGuard Pro Student Data Privacy Agreement (the "DPA") and Privacy Policy, which are incorporated into this Agreement. If this Agreement conflicts with the DPA, the DPA controls. The School owns its Student Data. We do not sell Student Data or use it for targeted advertising.
Users may not attempt to access other schools' data, reverse engineer the Service, upload malicious code, or use the Service to harass or discriminate against any student.
We target [99.5]% monthly uptime, excluding scheduled maintenance announced in advance. Support is available at [Support email] during [Support hours, time zone].
We own the Service and its software. The School owns its data and receives a non-exclusive, non-transferable right to use the Service during the term. Feedback may be used to improve the Service without obligation.
We warrant the Service will perform materially as described. Except as stated, the Service is provided "as is." The Service is not an emergency system, medical device, or substitute for emergency procedures; in an emergency, follow School protocols and call 911.
Except for breach of the DPA, indemnification obligations, or gross negligence or willful misconduct, each party's total liability is limited to fees paid or payable in the 12 months before the claim, and neither party is liable for indirect or consequential damages. [Attorney: confirm enforceability against public entities in each state.]
We will defend and indemnify the School against third-party claims that the Service infringes intellectual property rights or arising from our breach of the DPA, to the extent permitted by law.
We will maintain [general liability and cyber liability insurance in amounts of $[amount]] and provide certificates upon request.
Governing law: the laws of [State of governing law], except that a public School's own state law governs where required by law. Venue: [County, State]. Public-records laws apply to public Schools. Notices go to the addresses on file or [Legal notice email]. We may update these Terms with [30] days' notice; material changes affecting Student Data require the School's consent under the DPA. This Agreement, the DPA, the Privacy Policy, and any signed order form are the entire agreement.
